E-commerce Activities under the 2025 Law on E-commerce<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Effective July 2026, the Law on E-commerce officially enters into force, establishing various regulatory changes for the roles of each party involved in partial or full e-commerce activities. How does the 2025 Law on E-commerce define which activities are considered e-commerce? Accordingly, e-commerce activities are commercial activities conducted partially or entirely in an electronic environment. Within this framework, an e-commerce platform is a digital platform established to conduct e-commerce activities, including:<\/p>\n<p><strong>Direct Business E-commerce Platforms<\/strong> are e-commerce platforms established by organizations or individuals to directly sell goods or provide services. Examples of direct business e-commerce platforms include: The Gioi Di Dong (thegioididong.com), which directly sells phones and computers; and VinFast (vinfastauto.com).<\/p>\n<p><strong>Intermediary E-commerce Platforms<\/strong> are e-commerce platforms that allow other organizations and individuals to register accounts to introduce and sell goods or provide services on that very platform. This acts as an online &#8220;marketplace&#8221; where the platform owner provides space for multiple third parties (sellers) to post and transact goods. Examples include: Shopee, Lazada, Tiki (the most popular e-commerce marketplaces); Sendo (a domestic Vietnamese e-commerce marketplace); and Grab\/ShopeeFood (intermediary platforms connecting restaurants and diners).<\/p>\n<p><strong>E-commerce Social Networks <\/strong>are social networks integrated with at least one function such as online communication, online ordering, or live-stream selling to support contract execution and e-commerce activities. Examples include: TikTok Shop (the most typical case of integrating shopping into a social network); Facebook Shop\/Marketplace (where users post listings and conduct transactions); and Zalo Shop (a platform supporting businesses in selling directly through messaging).<\/p>\n<p><strong>Integrated E-commerce Platforms <\/strong>are e-commerce platforms that allow the integration of other e-commerce platforms within themselves, excluding platforms that only provide e-commerce support services or online communication for the integrated platform itself. These are applications or websites that originally had other functions (news, entertainment, payments) but added an online shopping component. Example: MoMo is primarily an e-wallet but integrates &#8220;Grocery Shopping,&#8221; flight bookings, and movie ticket purchases directly within the app.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"2_What_are_the_management_and_operational_responsibilities_of_an_e-commerce_platform_owner\"><\/span>2. What are the management and operational responsibilities of an e-commerce platform owner?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Enterprises need to accurately identify the specific e-commerce platform they manage and operate, as well as their specific role, to determine their respective obligations under the 2025 Law on E-commerce.<\/p>\n<p>For enterprises acting as owners of a direct e-commerce platform with online ordering functions, they must notify the competent state authorities before commencing operations, except in cases where the platform owner involves a foreign element.<\/p>\n<p>For enterprises managing and operating intermediary e-commerce platforms, e-commerce social networks, or integrated e-commerce platforms, they must be legal entities established in accordance with the law, meet the requirements for managing and operating e-commerce platforms, and register with the competent state authorities prior to operation.<\/p>\n<p>According to the 2025 Law on E-commerce, any enterprise, organization, or individual that has the right to manage, operate, and take responsibility for the entire operation of an e-commerce platform is defined as the &#8220;E-commerce Platform Owner.&#8221; Accordingly, the E-commerce Platform Owner is responsible for:<\/p>\n<ul>\n<li>Disclosing the content fully, accurately, and clearly, and organizing implementation in accordance with regulations;<\/li>\n<li>Providing periodic online reports through the E-commerce Management System or upon request by competent state management agencies;<\/li>\n<li>Implementing measures to inspect, review, remove, and promptly handle violations upon discovery or receipt of reports regarding illegal business activities;<\/li>\n<li>Complying with requests from competent state authorities regarding dispute resolution, complaints, investigations, and the handling of legal violations;<\/li>\n<li>Publicizing the primary selection criteria used when the e-commerce platform utilizes algorithms or measures to restrict or prioritize the display of goods and services.<\/li>\n<\/ul>\n<p>For E-commerce Platform Owners with online ordering functions, in addition to the obligations, they must ensure compliance with specific regulations applicable to this case, whereby:<\/p>\n<p><em>An e-commerce platform with online ordering functions must display the contents of the contract execution agreement clearly, fully, and accurately to all relevant parties, and must provide a mechanism that allows the buyer to express consent before placing an order. The contents of the contract execution agreement must record details regarding: goods or services, quantity, and type; methods and timelines for delivery or service provision; applied promotional forms; detailed payment amounts for goods and services, including: value of goods\/services, taxes, shipping costs, and other expenses; and payment methods. Additionally, the platform must provide functions and mechanisms that allow buyers to review and edit certain contents of the agreement before finalized ordering.<\/em><\/p>\n<h2><span class=\"ez-toc-section\" id=\"3_State_Management_Mechanism_for_E-commerce_Activities\"><\/span>3. State Management Mechanism for E-commerce Activities<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>The E-commerce Law 2025 provides regulations on the methods by which the State manages e-commerce activities; accordingly, management shall be based on a technological system and an e-commerce database. In this regard, the E-commerce Activity Management System is a system established, managed, operated, and exploited by the Ministry of Industry and Trade (MOIT) to ensure the synchronous and unified management and development of e-commerce, integrated with the National Public Service Portal.<\/p>\n<p><strong>The E-commerce Activity Management System performs the following functions:<\/strong><\/p>\n<ul>\n<li>Receiving, processing, and returning results for online administrative procedures in the field of e-commerce nationwide;<\/li>\n<li>Receiving and resolving feedback, requests, and complaints from organizations and individuals regarding e-commerce platforms, sellers, and e-commerce support service providers that violate the law;<\/li>\n<li>Monitoring, analyzing, and providing risk warnings for e-commerce activities;<\/li>\n<li>Receiving and processing e-commerce reports and statistics;<\/li>\n<li>Publicly announcing the list of e-commerce platforms that have been confirmed for notification or registration, as well as the list of licensed organizations providing e-contract authentication services in commerce;<\/li>\n<li>Publicly announcing the list of e-commerce platforms, sellers, and e-commerce support service providers that have violated the law.<\/li>\n<\/ul>\n<p><strong>Regarding the E-commerce Database:<\/strong><\/p>\n<p>The e-commerce database is developed in alignment with the national digital architecture framework, ensuring seamless connectivity and data sharing. Ministries, ministerial-level agencies, and local authorities shall implement the integration and interconnection of national and specialized databases with the e-commerce database. This interconnection must ensure efficiency, security, and compliance with the functions, duties, and powers prescribed by relevant laws.<\/p>\n<p>E-commerce platform owners, e-commerce support service providers, and related agencies and organizations are responsible for providing and updating information within the e-commerce database, ensuring completeness, integrity, timeliness, and accuracy.<\/p>\n<p>The year 2026 is identified as a pivotal time when businesses, individuals, and organizations must prioritize compliance across all business activities. Particularly in the context of Vietnam establishing technology and financial hubs alongside new tech policies, it is evident that the Government is tightening the management of business activities for individuals and organizations within the e-commerce sector. This tightening should be viewed positively, as the Government is bringing e-commerce operations into the proper order in which they should function, creating a level playing field between Vietnamese enterprises and foreign-invested enterprises. Therefore, to effectively manage risks and focus on core business operations, enterprises operating in this field should prioritize restructuring their activities in accordance with the new
