Guidance on Amending the Registration of a Foreign Direct E-commerce Platform

  • Mandatory cases: Changes to the platform name (domain/app), the operations manager, the authorized legal entity in Vietnam, the foreign Business Registration Certificate, or the publicly disclosed content/terms and conditions of transactions.
  • Mandatory submission deadline: Within 20 working days from the date the change officially takes effect.
  • Risk of Removal from the Public List: If the application is under review for termination, the platform’s information will be removed from the Public List on the National E-commerce Management System, directly jeopardizing the platform’s legal status in Vietnam.
  • Competent Authority & Processing Time: The Ministry of Industry and Trade processes the application within 07 working days from the date it receives a complete application dossier submitted via the National Public Service Portal.

For foreign traders and corporations operating direct-to-consumer e-commerce platforms in Vietnam, continuity of operations and legal compliance are prerequisites for maintaining cross-border business activities. Any changes to the representative structure, management organization, or operating regulations that are not updated in a timely manner may trigger serious legal risks.

In particular, the new provisions under Decree No. 248/2026/ND-CP establish a stringent supervisory mechanism: Any delay in or failure to complete the application for amendment may result in the platform being removed from the Ministry of Industry and Trade’s official Public List, disrupting transaction flows and seriously affecting the international reputation of the brand. Below is CDLAF Law Firm’s detailed guidance on the application dossier, compliance deadlines, and procedures for updating the registration information of foreign direct e-commerce platforms.

1. Cases Requiring Amendment or Supplementation

The operator of a foreign direct e-commerce platform with online ordering functionality conducting e-commerce activities in Vietnam must carry out amendment or supplementation procedures in the following cases:

  • Change of the e-commerce platform name (website domain name, application name);
  • Change of the person responsible for managing and operating the platform;
  • Change of the legal entity authorized in Vietnam;
  • Change of information in the Enterprise Registration Certificate or other equivalent documents issued by competent foreign authorities;
  • Change of publicly disclosed contents regarding operating conditions and transaction conditions on the platform.

2. Submission Timing

The procedure for amending and supplementing the confirmed registration dossier must be carried out within 20 working days from the date of the change.

3. Required Documents

Application Dossier for Amendment and Supplementation of Registration of a Foreign Direct E-commerce Platform with Online Ordering Functionality:

  • Information declaration form according to Form No. 02 in Appendix II of Decree No. 248/2026/ND-CP;
  • Documents and written materials proving the amended or supplemented contents.

4. Procedures and Steps

The procedure for amending and supplementing the registration of a foreign-related e-commerce platform shall be carried out through the following 02 steps:

Step 1. Log in to the National Public Service Portal, declare the required information, and attach the relevant documents.

Step 2. Within 07 working days from the date of submission of a complete and valid dossier, the platform operator shall receive a response regarding one of the following contents:

  • Confirmation that the registration dossier is complete and valid; the dossier information shall be publicly disclosed on the List of registered and confirmed e-commerce platforms on the E-commerce Activity Management System connected to the National Public Service Portal.
  • Request for clarification of the amended and supplemented dossier information. The platform operator shall repeat Step 1.
  • Termination of the dossier with reasons clearly stated. The platform information shall be removed from the List of registered and confirmed e-commerce platforms on the E-commerce Activity Management System connected to the National Public Service Portal.

5. Legal Recommendations from CDLAF Law Firm

The procedure for amending and supplementing the registration of a foreign direct e-commerce platform requires seamless coordination between the internal approval timeline of the overseas parent corporation and the legal process in Vietnam. CDLAF notes the following key points:

  • Delay in the “20 working days” deadline due to consular legalization: The change of the authorized legal entity or foreign business registration information is required to be accompanied by consular legalization procedures and notarized translation. Enterprises are highly likely to miss the 20-day deadline if they do not prepare the legal documents in Vietnam in parallel with the internal approval process of the parent company
  • Removal from the Public List: If the dossier is considered for termination and removed from the Ministry of Industry and Trade’s management system, the foreign platform will immediately lose its legal operating status, leading to risks of disruption to access infrastructure, payment systems, and the occurrence of tax-related issues.
  • Failure to review compatibility with the Data Protection Law (PDP): Changes to transaction content or the addition of new features directly on the platform require a review of the mechanisms for collecting and processing Vietnamese users’ data to ensure compliance with Personal Data Protection regulations.
