M&A
To aim for Merger & Acquisition (M&A) transaction, the parties must clearly understand their goals and detailed tasks for each stage. Each phase, from initial planning to consolidation, operates at the end of the transaction.
CDLAF’s lawyers will liaise with clients to perform tasks such as:
- Appraisal and assessment of the target of the transaction (financial, legal, capacity of the parties involved in the transaction, etc.);
- Consult the transaction structure, and build the implementation process to achieve the client’s goal in the transaction;
- Implement and monitor the appraisal process;
- Negotiate, prepare, and review documents and documents related to the transaction;
- Implement/supervise the process of conducting legal procedures to record and transfer the legal status of the parties;
- Consult on corporate restructuring after M&A transactions, strategies to stabilize personnel, eliminate the instability of the executive board, and resolve conflicts, etc.
